(2) MEMBER PERSONAL INFORMATION: Members will be required to provide complete individual information as required in the enrollment process, including a valid email address, before being accepted into the ClixSwap.com Network. Each member is required to maintain and update this information as needed. Only one (1) account per person allowed.

(2a) Email: Each member is required to maintain a valid email address. This electronic mail address will be the only form of retrieval for a members password. ClixSwap.com allows only one (1) email address per account and only one (1) account per email address.

(2b) Lost Password: Each member receives access to their account only after supplying a correct password. This password is maintained by the individual member. In the event a member cannot remember their login password, the password will only be provided to the email address on record within the members profile section.

(2c) Clix: A clix has no monetary cash value. Clix have value, only in exchange for services offered by ClixSwap.com. Clix may be purchased, given away by ClixSwap.com for free, or earned by the member for using services offered by ClixSwap.com. Specific earnings are not guaranteed and are determined by the number of services used by each member.

(2d) URL: All urls must allow the page to be completely loaded within a frame environment. Any member using a web page which breaks frames will have the page blocked and/or their account terminated. No credits shall be issued until such time as an appropriate url is provided by the member.

(3) OWNERSHIP: Members understand and agree that all of the materials provided on the ClixSwap.com web site are the sole property of Clixswap.com. Clixswap.com maintains all rights to the ClixSwap.com name, logo, databases, web site, information and site graphics. Members may, under no conditions, use or modify any copyrighted material in ways not stated in these terms and conditions. Any material owned or created by ClixSwap.com may be used solely for the purposes of promoting the ClixSwap.com site and/or referring new members to the ClixSwap.com web site.

(4) FEES: Members understand and agree that membership to the ClixSwap.com program is free. Services provided without charge carry no warranty and are provided to the member as is. ClixSwap.com makes no guarantee to services being available at time of members session.

(4a) Services offered as optional fee-based services are contracted and are governed by the terms of that individual purchase. Member may choose to participate in optional fee-based services. Members understand that all fees for fee-based services must be paid in advance to maintain continuous service.

(5) REFERRAL POLICY: Members are encouraged to refer family, friends, and associates to the ClixSwap.com program. Member earns referral credits for each new member enrolled, if said new member has enrolled as the result of clicking on a referral link provided by Clixswap.com. Referral credits are calculated based on the going rate published on the ClixSwap.com web site, and are assigned daily to the referring member, provided the referring members account is in compliance with all terms contained in this agreement.

(5a) Members are encouraged to use and are provided HTML code to place in emails and on each web url as the member deems, provided the HTML link points to the location assigned to the link at time of origination.

(5b) The use of SPAM to build referral credits is strictly prohibited. (See our SPAM policy for details)

(6) EARNING CLIX: Members earn clix by viewing page displays of other members for at least 30 seconds.

(7) CANCELLATION: Membership may be terminated at any time by either the member or ClixSwap.com. Members may terminate their account by email. To terminate send an email to Admin@ClixSwap.com. Include in the subject line "Request Of Termination". Request must provide First Name, Last Name, email address, and password for verification. At this time you must also remove any and all programming code, html, links and images belonging to ClixSwap.com from your web pages and any Internet media on which it was used. At the time of termination, all credits and referrals are lost by the member. The member information will remain within the Clixswap.com database.

(7a) ClixSwap.com reserves the right to terminate, at its discretion, any member found to be in violation of any of the terms or conditions contained in this agreement.

(7b) Any account which has no active use in 30 days may have all clix auto assigned for use with the url supplied for that account. Any account which has had no active use in 60 days may be cancelled, with loss of any clix and referrals.

(8) ACCEPTABLE USE: ClixSwap.com will not allow or tolerate any member who, through the use of the ClixSwap.com service, promotes by any means, material which contains, encourages, displays, or links to, explicitly or implicitly, any of the following: Pornographic material, Illegal activity, Racism, Libel, Harassment, Unsolicited email or Otherwise Adult-related, distasteful or inappropriate content.

(8a) Unacceptable use also includes the use of any means, artificial or real, the ability to inflate traffic counts, clix or clicks using any device, program robot or other means. Clix determined to be from fraudulent means will not be honored or redeemed. Any members account determined to have used such fraudulent means may be terminated, and all referrals shall be lost.

(8a1) Frames & Pop-ups: All web urls must load completely within the frame environment. This includes any site which redirects a member to another url during page load, after page load or on exit. Each site is allowed one pop-up per page. Urls found to have more than one pop-up or breaks the frame environment will be suspended and all clix assigned to the page will be forfeited. Good programming ethics would include coding all links to load in a new window, but is not mandated by ClixSwap.com at this time.

(8b) No member may use the services provided by ClixSwap.com except with the intent with which the services were designed. Credits may be withheld from, and may result in the termination of, any member determined to be using the services incorrectly, maliciously, or against its intended purpose in any way. ClixSwap.com will use all means deemed necessary to make this determination.

(8c) ClixSwap.com will immediately terminate, without obligation to redeem outstanding credits, any member who does not comply with all terms of this agreement, provides inaccurate or dishonest information for fraudulent purposes or is found linking to and/or promoting ClixSwap.com in newsgroups, bulk email, chat rooms or guest books. No balance of any account credits may be redeemed after an account is closed, regardless of the reason for closure.

(8d) ClixSwap.com reserves the right to be the sole judge as to the decision of offensive or unacceptable use.

(9) RISK & LIABILITY: Members agree to participate in the Clixswap.com. Network at his/her own risk and agrees NOT to hold Clixswap.com, its administrators, partners, employees, affiliates or sponsors liable for any damage or loss of information that may occur from the use of ClixSwap.com services. Members agree to defend, indemnify and hold the ClixSwap.com Network harmless from and against any and all claims, losses, liability costs and expenses (including but not limited to attorneys' fees) arising from the member's violation of this Agreement or any third-party's rights, including but not limited to infringement of any copyright, violation of any proprietary right and invasion of any privacy rights. This obligation will survive any termination of this Agreement.

AGREEMENT MODIFICATION: Clixswap.com. reserves the right to modify or change this agreement, including all Terms and Conditions without notice, as it deems necessary. It is the member's responsibility to keep current with changes in the Terms and Conditions. Changes are effective for all members, regardless of when the member originally registered or joined.
